1. Introduction

Welcome to ACCOUNTANT PDF ("Company", "we", "our", "us")!

Accountant PDF is a product operated by Evo Accounting AI LLC, a limited liability company organized under the laws of the State of Delaware, United States ("Company").

These Terms of Service ("Terms") govern your use of our website located at https://accountantpdf.com (the "Service"). Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.

Your agreement with us includes these Terms and our Privacy Policy. Our Privacy Policy, available at https://accountantpdf.com/privacy, forms an integral part of these Terms. You acknowledge that you have read and understood Agreements and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at support@accountantpdf.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

1A. International Use and Data Processing Jurisdiction

Accountant PDF is operated and managed from the United States. By accessing or using the Service from any location outside the United States, you acknowledge and agree that your data will be transferred to, processed, and stored in the United States under U.S. laws, which may provide a different level of data protection than your home jurisdiction. By continuing to use the Service, you expressly consent to this cross-border data processing.

2. Communications

By using our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at support@accountantpdf.com.

3. Purchases

If you wish to purchase any product or service made available through Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including but not limited to, your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We use Stripe as our payment processor. All payment information is handled directly by Stripe in compliance with PCI-DSS standards. ACCOUNTANT PDF does not store or have access to your credit card information.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to product or service availability, errors in the description or price of the product or service, errors in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

4. Contests, Sweepstakes and Promotions

Any contests, sweepstakes or other promotions (collectively, "Promotions") made available through Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply.

5. Subscriptions

Some parts of Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles will be set depending on the type of subscription plan you select when purchasing a Subscription.

Available Subscription Plans:

Monthly Plans:

  • Starter Monthly: $60.00/month - Up to 400 pages processed
  • Professional Monthly: $120.00/month - Up to 1,000 pages processed
  • Business Monthly: $198.00/month - Up to 4,000 pages processed

Annual Plans:

  • Starter Annual: $360.00/year - Up to 4,800 pages processed
  • Professional Annual: $720.00/year - Up to 12,000 pages processed
  • Business Annual: $1,198.00/year - Up to 48,000 pages processed

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or ACCOUNTANT PDF cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting support@accountantpdf.com customer support team.

A valid payment method is required to process the payment for your subscription. You shall provide ACCOUNTANT PDF with accurate and complete billing information that may include but not limited to full name, address, state, postal or zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize ACCOUNTANT PDF to charge all Subscription fees incurred through your account to any such payment instruments.

We use Stripe as our payment processor. All payment information is handled directly by Stripe in compliance with PCI-DSS standards. ACCOUNTANT PDF does not store or have access to your credit card information.

Should automatic billing fail to occur for any reason, ACCOUNTANT PDF reserves the right to terminate your access to the Service with immediate effect.

6. Free Trial

ACCOUNTANT PDF offers a 14-day free trial for new users ("Free Trial"). During this period, you will have access to process up to 30 pages at no cost. The Free Trial is designed to allow you to experience and evaluate the features and functionality of the Service before choosing a paid Subscription plan (see the Subscriptions section for more details).

At the end of the 14-day Free Trial period, access to the Service will be automatically frozen, and you will no longer be able to upload or process new documents unless you register for a paid Subscription. Your account and any remaining trial pages will remain inactive but securely stored until you upgrade to a paid plan, at which point service functionality will resume according to your selected plan.

You may cancel your Free Trial at any time before it expires through your account settings or by contacting support@accountantpdf.com.

Cancellation will take effect immediately, and you will retain access to the Service until the end of the Free Trial period.

ACCOUNTANT PDF reserves the right, at any time and without prior notice, to (i) modify the terms of the Free Trial offer, or (ii) discontinue the Free Trial program.

6A. Pages Policy and Usage Limits

Understanding Pages:

  • Each PDF page processed through our Service counts as one (1) page toward your plan limit
  • Page allowances are allocated based on your subscription plan (monthly or annually)
  • Page allowances reset at the beginning of each billing cycle
  • Unused pages do not roll over to the next billing period

Page Limits and Notifications:

  • You will receive an email notification when you reach 80% of your page limit
  • Once you exhaust your monthly/annual page allowance, the Service will not process additional pages until:
    • Your next billing cycle begins (automatic page renewal)
    • You upgrade to a higher tier plan

Tax Season Provisions:

During peak tax season (January through May), ACCOUNTANT PDF reserves the right to implement fair usage policies to ensure service availability for all users. This may include daily processing limits even within your monthly page allowance.

7. Fee Changes

ACCOUNTANT PDF, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

ACCOUNTANT PDF will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

8. Refunds

We issue refunds for Contracts within 30 days of the original purchase date, provided that specific conditions are met. While we value customer satisfaction, refunds are not granted automatically or solely at the customer's request once the service has been consumed in whole or in part.

Each subscription plan (Starter, Professional, or Business — Monthly or Annual) includes a defined number of pages representing the amount of document pages that can be processed. Once these pages have been used, partially or fully, the corresponding portion of the service is considered delivered.

Refunds are therefore available only for unused pages within the active subscription period, and only when:

  • The user has not exceeded or substantially used the page allowance included in their plan.
  • The request is made within 30 days of the initial purchase.
  • No violation of the Terms & Conditions or misuse of the platform has occurred.

Refunds are not applicable in cases where the customer has fully or largely consumed their available page allowance (for example, using all 4,000 pages under a Business Monthly Plan) or has benefited from the service provided.

For Annual Subscription Plans, refunds are subject to additional restrictions to ensure fairness and service integrity.

Annual plans are non-refundable once either of the following conditions is met:

  1. More than thirty (30) calendar days have elapsed since the initial purchase date; or
  2. The user has consumed more than ten percent (10%) of the total pages included in the annual plan.

Refunds requested after either of these thresholds will not be eligible under any circumstance, as the service is considered substantially delivered.

In the event that a refund is approved within the eligible period and under the page usage limit, the refundable amount will be calculated pro rata based on the number of unused pages remaining in the annual plan at the time of the request.

ACCOUNTANT PDF reserves the right to review all usage data and transaction history to verify eligibility before processing any refund request.

Professional Use Limitation:

All subscriptions and payments are made for business-to-business (B2B) professional use only. These refund provisions do not constitute consumer rights under U.S. or state consumer protection laws, which are inapplicable to professional transactions.

8A. Professional Use Disclaimer and Data Accuracy

Important Disclaimers:

ACCOUNTANT PDF is a data processing tool designed to assist in the extraction and initial classification of bank statement information. The Service DOES NOT provide accounting, tax, financial, or legal advice.

Users acknowledge and agree that:

  • All classifications and data processing results must be reviewed and verified by qualified professionals
  • ACCOUNTANT PDF does not guarantee 100% accuracy in data extraction or classification
  • Users are solely responsible for ensuring compliance with all applicable tax laws and accounting standards
  • The Service is a tool to assist professionals and does not replace professional judgment
  • Final responsibility for all financial reporting and tax filings remains with the users and their clients

AI-Generated Output Disclaimer:

Certain features of the Service use artificial intelligence (AI) or machine learning technologies to process documents or classify data. These AI-generated results are provided solely as assistive tools and are not intended to replace human professional review. Users must verify all results before relying on them for accounting, financial, or tax purposes.

Data Processing Accuracy:

While ACCOUNTANT PDF strives for high accuracy in processing bank and credit card statements, factors such as PDF quality, formatting variations, and handwritten notes may affect results. Users should always verify processed data against original documents.

9. Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.

Financial Data Security:

You acknowledge that you may be uploading sensitive financial documents. ACCOUNTANT PDF employs industry-standard security measures, including encryption and secure server infrastructure, to protect your data. However, you are solely responsible for ensuring that you have the proper authorization to upload and process any third-party financial documents through the Service.

By posting or uploading any content ("Content") on or through the Service, you represent and warrant that:

  • such Content is yours (you own it) and/or you have the right to use it and to grant us the rights and licenses set forth in these Terms; and
  • the posting or uploading of such Content does not violate any privacy, publicity, copyright, contract, or other proprietary rights of any person or entity.
  • Users retain full ownership of all documents, input data, and output files generated from their uploaded content. Accountant PDF acts solely as a temporary data processor with a limited, revocable, and non-exclusive license to process the uploaded data for the purpose of providing the Service. No ownership or derivative rights are transferred to the Company.

We reserve the right to terminate the account of any user who infringes upon the intellectual property rights of others.

You retain all rights to any Content you submit, post, or display through the Service and remain solely responsible for protecting those rights. ACCOUNTANT PDF assumes no responsibility or liability for any Content uploaded or posted by you or any third party. By uploading Content through the Service, you grant ACCOUNTANT PDF a limited, non-exclusive, and temporary license to process, display, and store such Content solely for the purpose of providing the Service.

Audit and Compliance Statement

ACCOUNTANT PDF is committed to maintaining the highest standards of information security, confidentiality, and operational integrity. To that end, the Company follows industry-recognized best practices and frameworks, including the principles established under SOC 2 (System and Organization Controls) and ISO/IEC 27001 (Information Security Management System).

While ACCOUNTANT PDF may not currently hold formal certifications under these frameworks, its internal policies, security controls, and data-handling procedures are designed to align with their key requirements, including:

  • Continuous monitoring of systems and data access.
  • Encryption of data in transit and at rest.
  • Strict access control and authentication policies.
  • Regular vulnerability assessments and risk evaluations.
  • Employee training on data protection and confidentiality obligations.

The Company may, from time to time, undergo internal or third-party audits to verify the effectiveness of its security controls and ensure ongoing compliance with applicable privacy and data protection laws.

Upon request and where legally permissible, ACCOUNTANT PDF may provide enterprise customers with summary documentation or attestations demonstrating its adherence to these standards.

Data Retention Policy

All documents and financial data uploaded by users will remain stored securely in our systems for a maximum period of 24 hours from the time of upload. After this period, the uploaded documents will be automatically and permanently deleted from our servers. Once deleted, neither you nor ACCOUNTANT PDF will have access to such documents.

Structured Results Retention:

Any structured outputs, reports, or extracted data generated through the Service (e.g., CSV or Excel summaries) will remain available to the user for up to 24 hours from generation unless deleted earlier by the user. After this period, such data will be automatically and permanently deleted from our systems.

ACCOUNTANT PDF has the right, but not the obligation, to monitor and review Content provided by users for compliance and operational integrity.

All other Content and materials found on or through this Service are the property of ACCOUNTANT PDF or are used under license. You may not distribute, modify, transmit, reuse, download, repost, copy, or use such Content, whether in whole or in part, for commercial or personal purposes, without our express prior written permission.

We process data in accordance with the principles of data minimization and purpose limitation under applicable privacy laws (including GDPR and CCPA, where applicable).

Rectification/Deletion Requests

In accordance with applicable data protection laws and our commitment to privacy by design, you have the right to request the correction (rectification) or deletion (erasure) of your personal data stored by ACCOUNTANT PDF.

Rectification Requests:

If you believe that any personal information associated with your account is inaccurate or incomplete, you may request that we correct or update it. We will take reasonable steps to verify and amend the data accordingly.

Deletion (Right to Be Forgotten):

You may request the deletion of your account and any associated personal data at any time by contacting support@accountantpdf.com from the email address linked to your account. Upon verification of your identity and ownership of the account:

  • Your account and all personal data will be permanently deleted from our active systems within 30 days.
  • Backup copies may remain temporarily in our secure archives for legal, regulatory, or legitimate business purposes but will be automatically deleted within 90 days.
  • Once deleted, your account cannot be restored, and you will lose access to any data or files previously processed.

Exceptions:

We may retain certain transactional or billing data where required by applicable law (e.g., tax or financial recordkeeping obligations) or to resolve disputes, enforce agreements, and protect against fraudulent activity.

How to Exercise These Rights:

All requests for data rectification or deletion must be submitted in writing to support@accountantpdf.com, with the subject line "Data Rectification or Deletion Request." We may require verification of identity to protect your information from unauthorized access.

10. Prohibited Uses

You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:

  • In any way that violates any applicable national or international law or regulation.
  • For exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.

Additionally, you agree not to:

  • Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party's use of Service, including their ability to engage in real time activities through Service.
  • Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
  • Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of Service.
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
  • Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
  • Take any action that may damage or falsify Company rating.
  • Otherwise attempt to interfere with the proper working of Service.

11. Analytics

We may use third-party Service Providers to monitor and analyze the use of our Service.

11A. Service Level Agreement (SLA)

Service Availability:

ACCOUNTANT PDF commits to maintaining a 99% uptime during standard business hours (9 AM - 6 PM EST, Monday through Friday), excluding scheduled maintenance windows.

Scheduled Maintenance:

  • Regular maintenance windows: Sundays 2 AM - 6 AM EST
  • Users will be notified at least 48 hours in advance of any scheduled maintenance
  • Emergency maintenance may occur with shorter notice in critical situations

Service Credits:

In the event of service unavailability exceeding 1% in any given month (excluding scheduled maintenance):

  • Users may be eligible for service credits proportional to the downtime
  • Service credits will be applied to the following billing cycle
  • Users must report downtime issues within 7 days to be eligible for credits

12. No Use By Minors

Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service.

13. Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current always. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately of becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

14. Intellectual Property

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of ACCOUNTANT PDF and its licensors. Service is protected by copyright, trademark, and other laws of foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of ACCOUNTANT PDF.

15. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights ("Infringement") of any person or entity.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to support@accountantpdf.com, with the subject line: "Copyright Infringement" and include in your claim a detailed description of the alleged Infringement as detailed below, under "DMCA Notice and Procedure for Copyright Infringement Claims"

You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad faith claims on the infringement of any Content found on and/or through Service on your copyright.

16. DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest.
  • a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.
  • identification of the URL or other specific locations on Service where the material that you claim is infringing is located.
  • your address, telephone number, and email address.
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

17. Error Reporting and Feedback

You may provide us either directly at support@accountantpdf.com or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback"). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

Our Service may contain links to third party web sites or services that are not owned or controlled by ACCOUNTANT PDF.

ACCOUNTANT PDF has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not guarantee the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services.

We strongly advise you to read the terms of service and privacy policies of any third-party web sites or services that you visit.

19. Disclaimer Of Warranty

These services are provided by company on an "as is" and "as available" basis. Company makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content or materials included therein. You expressly agree that your use of these services, their content, and any services or items obtained from us is at your sole risk.

Neither company nor any person associated with company makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services. Without limiting the foregoing, neither company nor anyone associated with company represents or warrants that the services, their content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components or that the services or any services or items obtained through the services will otherwise meet your needs or expectations.

Specifically for financial data processing: accountant pdf does not warrant the accuracy of automated classifications, data extraction, or accounting categorizations. All output must be reviewed by qualified professionals.

Company hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

20. Limitation Of Liability

Except as prohibited by law, you will hold us and our officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises (including attorneys' fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this agreement, including without limitation any claim for personal injury or property damage, arising from this agreement and any violation by you of any federal, state, or local laws, statutes, rules, or regulations, even if company has been previously advised of the possibility of such damage. Except as prohibited by law, if there is liability found on the part of company, it will be limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so the prior limitation or exclusion may not apply to you.

21. Termination

We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.

If you wish to terminate your account, you may simply discontinue using Service.

All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

22. Governing Law; Dispute Resolution (Arbitration)

Governing Law. These Terms and any dispute, claim, or controversy arising out of or relating to them or the Service (collectively, "Disputes") are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules.

Arbitration Agreement. Except as expressly provided below, any Dispute will be resolved by binding arbitration administered by the American Arbitration Association (AAA) pursuant to (i) its Commercial Arbitration Rules if you use the Service for business purposes, or (ii) its Consumer Arbitration Rules if you are an individual consumer, in each case as modified by this Section. The Federal Arbitration Act (9 U.S.C. §1 et seq.) ("FAA") governs the interpretation and enforcement of this arbitration agreement.

Venue, Seat, and Procedure. The seat and venue of arbitration will be Miami-Dade County, Florida. The proceedings will be conducted in English before a single neutral arbitrator. The arbitrator may award any relief available in a court, including injunctive relief and attorneys' fees where permitted by law. The arbitral award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action and Jury Trial Waiver. You and Company agree to arbitrate only on an individual basis. Class, collective, consolidated, or representative actions are not permitted. You and Company waive any right to a jury trial.

Small Claims and Injunctive Relief Carve-Out. Nothing in this Section prevents either party from (i) bringing an individual claim in small claims court within its jurisdictional limits, or (ii) seeking temporary, preliminary, or permanent injunctive relief or other equitable relief in a court of competent jurisdiction to prevent actual or threatened unauthorized access, misuse, data/security breaches, or infringement/misappropriation of intellectual property.

Court Jurisdiction When Not Arbitrable. To the extent any Dispute is not subject to arbitration, the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and waive any objection to jurisdiction and venue in those courts.

Severability and Survival. If any portion of this Section is found unenforceable, it will be severed and the remainder fully enforced to the extent permitted by law; however, if the class-action waiver is found unenforceable, this entire arbitration agreement will be null and void, and any Dispute will be heard in the courts specified above. This Section survives termination of these Terms and your use of the Service.

Consent to Clickwrap Agreement:

By selecting "I Agree" or similar acceptance options during registration or subscription checkout, you acknowledge that these Terms constitute a legally binding agreement, including the arbitration and class action waiver provisions.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
